What criteria must be met to qualify as a legal entity professional investor?

To qualify as a legal entity professional investor under Annex II of the Directive 2014/65/EU (MiFID II), you must meet one of the following criteria:

a) Authorized or Regulated Entity:

  • Credit institution
  • Investment firm
  • Other authorized or regulated financial institution
  • Insurance undertaking
  • Collective investment scheme or management company of a collective investment scheme
  • Pension fund or management company of a pension fund
  • Commodity or commodity derivatives dealer
  • Any other institutional investor

b) Large Undertaking:

  • Meet at least two of the following size requirements:
  • Balance sheet of at least EUR 20,000,000
  • Net turnover of at least EUR 40,000,000
  • Own funds of at least EUR 2,000,000

c) Other Eligible Entities:

  • National or regional government
  • Public body managing public debt
  • Central bank
  • International or supranational institution (e.g., World Bank, IMF, ECP, EIB)
  • Institutional investor whose main activity is to invest in financial instruments
